Процесс размещения акций компании. Новый акционерный капитал обычно привлекается через эмиссионные дома и торговые банки, которые организуют продажу акций от имени компании-клиента. Акции могут выпускаться для продажи широкой публике (public issue) по заранее установленной фиксированной цене (см. Offer for sale), предлагаться для продажи путем торгов (см. Offer for sale by tender), продаваться акционерам компании по льготной цене (см. Rights issue) и институциональным инвесторам (см. Placing, Institutional investors). Если акции предназначены для продажи широкой публике, компания выпускает проспект (prospectus), в котором содержится приглашение подписаться на акции компании и информация об условиях покупки. Затем компания организует распределение акций (см. Allotment) в соответствии с поданными заявками. Если число заявок превышает количество акций (см. Oversubsciption), приходится разрабатывать схему их распределения. Чтобы обезопасить себя от возможной неполной подписки (undersubscription), компании обычно заключают договор с торговым банком, который гарантирует покупку всех непроданных акций (см. Underwriting 2). Имена тех, кто получил право на приобретение акций и оплатил их стоимость, вносятся в реестр, и они получают титул собственности на часть акционерного капитала компании. См.
